The specific scope, deliverables, timeline, and pricing for any engagement will be defined in a separate Statement of Work or Service Agreement executed between Helm & Birch and the client.

Unless otherwise stated, invoices are due within thirty (30) days of the invoice date. Late payments may accrue interest at a rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower. Helm & Birch reserves the right to suspend services in the event of non-payment exceeding sixty (60) days.
To the maximum extent permitted by applicable law, Helm & Birch LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our website or services, regardless of the theory of liability. Our total aggregate liability for any claims arising from or relating to our services shall not exceed the total fees paid by you to Helm & Birch during the twelve-month period preceding the event giving rise to the claim. These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or our services shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association in Austin, Texas, or through litigation in the state or federal courts located in Travis County, Texas. Each party consents to the exclusive jurisdiction of such courts.
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. Material changes will be communicated through a prominent notice on our website.
